　　Roche Holding AG offered $3 billion in cash for Ventana Medical Systems Inc. to gain diagnostic tests for cancer.

　　The $75-a-share hostile bid is 45 percent higher than Ventana's closing price of $51.74. Ventana has fended off Roche's attempts to negotiate a takeover, the Basel, Switzerland-based company said in an e-mailed statement yesterday.

　　The company's tests analyze human tissues to diagnose cancer and infectious diseases, the company said.Net income was $18 million. In April, Ventana said it expects 2007 revenue of $285 million to $289 million, with earnings per share of $1.27.
